Upon any exchange or transfer of bonda of the Thirty-third Series,
the Company may make a charge therefor sufl~cient to reimbnr~e it
for any taa or taxes or other governmental charge, aa provided in
Section 12 of the Mortgag+e, but the Company hereby ~vaives any right
to make a charge in addition therEto ior any eacbang~e or tranafer
of bonds of the Thirty-third Seriea

Dividend Covenant
SECTION 2. Section 3 of the Tlurd Supplemental Indenture, aa her~
tofore amended, is hereby further amended by ineerting the words
; "or Thirty-third Series" immediately before the words "remain Out-
~ standing".

Miscellaneous Provisions
SEC'r~ox 3. The Corporate Trustee may, from time to time, appoint
~ = an authenticating ag~ent or agents to act on its behalf and subject to its
~ direction in connection with the authentication of bonds issued from
i time to time in fully regiatered form under the Mortgage as heretofore
~ or hereafter amended or supplemented. Any such authenticating agent
~ shall, so long as it so acts hereunder, be a bank or trust company and
be a oorporation organized and doing business under the laws of the
United Statea or of any State or Territory or of the District of Colum-
bia, with a oombined capital and surplus of at least ~ve Million Dollars ~
($5,000,000), and be ~uthorized under such laws to act as authenti-
' cating agent and be subject to supervision or examination by Federal,

State, Territorial, or District of Columbia authority. If such corpora-
I tion publishea reports of condition at least annually, pursuant to law
~ or to the requirementa of the aforesaid aupervising or examining su-
j thority, then for the purposes of this Section the combined capital and
surplus of such corporation shatl be deemed to be its combined capital
and surplus as set fort,h in its most recent report of oondition so pub-
lished.
Any carporation into which any authenticating agent may be merg+ed
ar converted or with which it may be consolidated, or any corporation
