resulting from any merger, aonversion or consolidation to which any
. authenticating agent ahall be a party, or any oorporation succeeding
to the corporate agency business of any authenticating agent, shall, if
otherwise eligible under the provisions of this Section, oontinue to be
an authenticating agent witbout the execution or ftling of any paper or
any further act on the part of the Corporate Trustee or the predecessor
authenticating agent
Any authenticating agent may at any time reaign by giving written ~
notice of resignation to the Corporate Trustee and to the Company. The
Corporate Trustee may at any time terminate the agency of any authen-
ticating agent by g?iving written notice of termination to such suthen-
ticating agent and to the Company. Any successor suthenticating agent
; upon acceptance of its appointment hereunder shall become vested with
~ all the rights, powers, dutiea and responsibilities of its predeaessor here-
under, with like effect as if originally named as an authenticating agent

~ The Corporate Trustee agrees to pay to any authenticating agent _
' frnm time to time reasonable compensation for its services, and the
i Corporate Trustee shall be entitled to be reimbursed for such payments,
'j , subject to the~provisions of Section 96 of the Mortgage.

; S~cr~ox 4. Subject to the amendments prnvided for in this Thirty-
f second Supplemental Indenture, the terms defined in the Mortgage, as
, heretofore supplemented, shall, for aU purposes of this Thirty-second
~ j Supplemental Indenture, have the meaninga specified in the Martgage,
! s as heretofore supplemented.
SECTION 5. The Trustees hereby accept the trust herein declared,
! prnvided, created or supplemented and agree to perform the same upon

~ the terms and conditions herein and in the Mortgage, as heretofore sup-
plemented, set forth and upon the following terms and conditions:
The Trustees shall not be responaible in any manner whatscever for
; or in respect of the validity or sufficiency of this Thirty-second Supple-
mental Indenture or for or in respect of the recitals contained herein,
