This First Amendment to Aqreement and Certificate
of Limited Partnership, made as of Auqust 27, 1975, by ancl ~
between THE KZI?IC4 CORPORATION (the "General Partner"), a
Delaware corporation having an office at 1044 Northern
Boulevard, Roslyn, New York, as General Partner, and EDWARD
A. KIMMEL, residing at 126 Casa Hendita, Palm Beach,
Florida, JULIUS D. SMOLEN, residing at 201 East Seventy- .
ninth Street, New York, New York, and MERRILL L.HANK, '
residiaq at 6701 Park Heiqhts Adenue, Baltimore, rtaryland

Partaers")

W~REA~, The Rimco Corporation is the qeneral part-
. nex and Edward A. Rinaanel and Juliu3 D. Smolen are the limited
~ partners in a Florida limited partnership known as Kimca Uni-
versity Company, Ltd., pursuant to Agreement and Certificate •
of Linited Partne=ship, dated Auqust 27, 1975, made by said
. corporation and individuals; and
WHEREAS, the Certificate of Limited Partnership of ~ ~
Rimco University Coaipany, Ltd. has been filed in ths office . ~
of the Secretary of State of Florida, on September 24, 1975,
_ and bears said Secretary of State's No. LP 4496 and a certi-
- fied copy of said Certificate has been filed with the Clerk
of~he ~ircuit Court of St. Lucie County, Florida; and

WHEREAS, the parties now desire to reflect, of
reco~, that Merrill L. Bank is a Limited Partner;
NOW, therefore, the parties amend, effective as of
August 27-, 1975, the said Agreement and Certificate of Liuni-
ted Partnership dated.Auqust 27, 1975 as follows:
1. Merrill L. Aank, residing at 67Q1 Park Heights
Avenue, Baltimore,Maryland 21215, is one of the Limited Part-
ners of the Partnership.
2. Notwithstanding any other provision of the said
Agreement and Certificate of Limited Partnership, the partners• -
contributions to the capital of the Partnership are as follo~as: ?

Limited Partners
