KNOW ALL MEN BY TNESE PRESENTS, that FREDDY J. SIEGWALT

called mortgagors, for securing the payment of the money herein-
after mentioned, and in consideration of the sum of Ten Dollars,
duly paid by GENERAL DEVELOPMENT CORPORATION, a Delaware corporation
of the City of Miami, County of Dade and State of Florida, herein-
after called mortgagee, at or before the ensealing and delivery
of these presents, the receipt whereof is hereby acknowledged, has
granted, bargained and sold, and by these presents does grant, bar-
gain, sell and convey unto the said mortgagee, its successors and
assigns, all the goods, chattels and personal property now at
and particularly described on Exhibit "A" attached hereto and by
reference incorporated fierein. ~
TO HAVE AND TO HOLD all and singular the said goods, ~
chattels and personal property above bargained and sold, or
intended so to be, unto the said mortgagee, its successors and
as~igns forever.
' AND the said mortgagors, for their heirs, executors and

t administrators, covenant with the said mortgagee, its successors

~ and assigns, that they are the lawful owners of all and singular

~ the goods, chattels and personal property above bargained and sold;
that said property is free from all incumbrances; that they~have
good right to sell the same as aforesaid; and that they shall and will
warrant and defend the same unto the said mortgagee, its successors
~ and assigns, against the lawful claims of all and every person or

~ persons whomsoever.

a PROVIDED ALWAYS, and these presents are upon the express
~ cond~ition that if the said mortgagors shall well and truly pay unto

~ the said mortgagee, its successors and assigns, the aggregate sum of

~ Forty-Five Thousand and ($45,000.00) no/100 Dollars, secured by that
