to HUTCHINSON ISLAND CLUB, INC., a Florida corporation ("Grantee"),

Grantor, for and in consideration of the sum of $10.00 -
and other_valuable considerations, receipt and sufficiency of

bargain, sell, alien, remise, release, convey and confirm unto
Grantee the following property (the "Property"):
(a) All that certain land (the "Land") situate in '

particularly described in Exhibit A annexed hereto and made
a part hereof for all purposes;
{b) All improvements of any nature whatsoever situate
on the Land; '
(c) Al1 rights, privileges, tenements, hereditaments, .
rights-of-way, easements, appendages, appurtenances, reversions,
remainders, riparian or littoral rights, belonging or in anywise
appertaining to the~Land and any improvements thereon; and
(d) All right, title and interest of Grantor in and to -

subject to the matters, if any, set forth on Exhibit A.

j has qood right and lawful authority to sell and convey the
; Property; that Grantor hereby ful~y warrants the title to the
~ ~Property and will defend the same against the la~~ful claims
~ of all persons whomsoever; and that the Property is free
~ from all encumbrances.

THIS Warranty deed~is an absolute conveyance of Grantor's
. title to the Property in effect as well as in form and is
