THiS JOINT VENTURE AGREEMENT made and entered into this
27th day of June , 1973, by and between MR, N. A. HARDIN,
herexnafter sometimes referred to as "Mr, Hardin" and HARRISON LAND
DEVELOPI?iENT, INC., a F2orida corporation, hereinafter sometimes
referred to as "Harrison Land"; ;

~ WHEREAS, the parties hereto desire to form a joint venture - i

~l under the laws of the State of Floriita for the purpose of acquiring, ~
~ developing, operating and otherwise engaging in any activities relating ~
~ to the acquisition and development of certain tra~ts of land more
particu2arly described hereinafter; and ~
WHEREAS, the parties hereLO desire to state.their respective

rights, duti~s,. and responsibilities with respect to such joint venture;

NOW, THEREFORE, in consideration of the premises and of the ~ ;

mutual promises, obligat~ons and agreements contained herein, the ~

j 1. Formation of Joint-Ven~ure.
~ ~ The parties hereto hereby form a joint venture under the laws

~ of the State of Florida, which shall conduct its business under the name:

' The joint venture shall have its princ~.pal place of business at

- 8700 North Lake Dasha Drive, Ft. 7~auderdale, Florida or such other

~ place as the parties shall designate.

2. Purpose of the Joizt Venture.

~ ' The primary purpose of the joint venture shall be to acquire

~ the tracts of land described on Exhibits "A", "B" and "C" hereto.
~In connection therewith, the joint venture shall engage in the business

~ of planning, designing, constructing, developing, owr.ing, leasing and

: operating such buildings and other improvements on such lands as shall

~ of this Joint Venture Agreement.
