TRUST, a California business trust (hereinafter referred to

as "Alison"), OCEANA RECREATIpN ASSOCIATION, INC., a non- ~
profit Florida corporation (hereinafter referred to as the

"Recreation Association"), and OCEANA OF HUTCHINSON ISLAND,
INC., a non-profit Florida~corporation (hereinafter referred
to as the "Condominium Association"). a a

WHEREAS, OCEANA OCEANFRONT CONDOMINIUM ONE (the ~
"Condominium"), has been constructed on certain land described
at Page 67,,of Official Records Book 245, of the Public
Records of St. Lucie County, Florida, being also Page 1 of
the Declaration of Condominium thereof recorded in Official
Records Hook 245, Pages 65 through 135, of the Public Records
of St. Lucie County, Florida (hereinafter referred to as the
"Condominium Land"), and more particularly 3escribed in
Exhibit "A" attached hereto; and
WHEREAS, the Recreation Association and the Condominium
Association have entered into a certain Membership Agreement
pertaining to a certain Recreation Area located on the land

described in Exhibit "B" attached hereto, said Membership .
I Agreement being recorded as Exhibit "E" to the Declaration
of Condominium in Official Records Book 245, at Page 2.22, of
the Public Records of St. Lucie County, Florida, as amended
by Addendum to Membership Agreement which was recorded as
Exhibit "A" to Amendment to Declaration of Condominium in ~
Official fiecords Book.ZS3 , at Page~~, of the Public Records `
of St. Lucie County, Florida (hereinafter collectively
referred to as the "Membership Agreement); and
WHEREAS, the Recreation Area described in Exhibit
.
"B" is burdened by certain easements and rights of use by
the Owners of other lands, as more particularly set forth in
a certain Grant of Easement dated the 7tb day of May ,
1976, and recorded in Official Records Book o'~5a-, at Page ~J ~I.3
of the Public Records of St. Lucie County, Florida; and
