LAST WILL AND TESTAMENT OF HELEN F. PORE - Page Three

I name and appoint ST. LUCIE COUNTY BANK, Fort

Pierce, Florida, or its corporate successor, as Trustee of ;
each of the trusts created under this Will. _
No person named as Executor, Executrix, Co-Executor
or Trustee shall be required to give bond for the faithful ;
performance of their duties.
CLAUSE VII: My Executors are invested with full
- power and authority to sell, convey, transfer and assign
any and all personal property and real estate belonging to
my estate.
CLAUSE VIII: In the event that my husband, HOWARD
PORE, and I die under such circumstances that it cannot be
determined which of us predeceased the other, I direct that z

it shall be conclusively presumed that I survived my said ~
husband, and the provisions of this Will, and any Codicil ~
hereto, shall be construed and regulated as if I had, in ~

' fact, survived my said husband. ~

~ CLAUSE IX: My Executor is authorized and directed

~ to pay out of my residuary estate all inheritance, legacy or
~
~ estate taxes on my estate or on any portion thereof, or
~ levied by reason of my death (including those levied on pro-
~
ceeds of policies of insurance on my life), whether or not
the property, transfer or proceeds with respect to which .
~ said taxes are levied is a part of my estate at my death,
and my Executor shall not require any transferee or other
~
~ person to reimburse my estate for said taxes so paid, nor
~
~ deduct the same from the share of any beneficiary hereunder.

~ CLAUSE X: My Executors shall have the right to
~ exercise any election they may have as to whether to claim
~
r any expense of administration of my estate as a deduction `
~ for any death tax or any income ta~c in such manner as they
~
~ believe will minimize the total tax burden on my estate.
