property, or interest, which I may own or which may pass under ~
this my Last Will and Testament, or under any codicil thereto, shall
be paid out of the assets af my residuary estate prior to any disfiribution
of my estate. ~

I hereby nominate, constitute and appoint my sister, ELSA
WOODS, and my nephew, BARRY L. WOODS, Co-Executors of this, my Last
Will and Testament, each to serve without bond. I expressly confer
upon my personal representa~ives full power as sueh to administer my
Estate, wifih full authority and paver to sell any part of my Estate,
at public or private sale, with or without notice, as they may deem
best~"a~ without any order of Court. I authorize them to make good

and sufficient conveyances to the purchaser and to hold the proceed~ i
of any sale to the same uses and trusts as hereinbefore declared.
I further hereby expressly confer upon them the authority
and pawer to borrow money for the use of my said Estate in any instance
~ where they may think it necessary and proper, and to secure the same by
'f mortgage, trust deed, or other form of security, to or upon any part of

ricy Estate; this they may do without the order of any Court.
