approval thereof by a majority of such beneficiaries, ~,r by
such court as the case may be, shall be final, binding and
conclusive upon all persons then or thereafter interested ;
in the trust estate.
W. To perform any act and make any and all deci-
• sions or elections under the existing state la~vs or under
the Internal Revenue Code deemed by it to be for the best
interest of the estate and trusts created hereunder. This ~
power shall include, but is not limited to the filing of a
joint income tax return with my spouse, the right to claim
the whole or any part of the expenses of administration as
income tax deductions, selection of taxable year and dates
of distributions.
X. My Personal Representative or Trustee hereof
(so long as they shall be individual and not corpora.te
trustees) may employ any investment management service or
services, financial institution or similar organization not
,
only to advise the Personal Representative or Trustee, but
also to handle all investments of the trust estate and
render all accountings of ~funds so held, on behalf of the
Personal Representative or Trustee, under custodial, agency
or ottier such agreements,.and to pay the reasonable and
normal costs thereof as an expense of administration oi
the trusts and in addition to its commissions.

ARTICLE XVI.
I direct that my Person~l Representative shall,
from the date of my death, make such payments of income or
principal which are either directed or authorized, to those
persons or for those purposes and subject to the t~i-it'is and

conditions as are set forth in this will. In order to
~ accomplish the foregoing my Personal Representative may

~ make partial distributions in order to irunediately fund
~ any such•trusts, if it shall be deemed appropriate and, in
any event, any such distributions of interest or principal '
shall be chargeab le against the trust or interest in any
~ trust o~wned by the distributee after the creation and
~ funding thereof.
~ Additionally, I direct that my said wife be
~
vested from the date of my death with the power of with--
drawal from those assets which have either then been funded ~ ~
