Special members' meerings shall be held whenever called by the President or Vice President or by a majority of the Board of Directors, and must be called by such officers upon receipt of a written request from members entitled to cast fifty-one (51$) percent of the votes of the entir.e membership. provided, however, the Developer has closed upon the sales of atl of the condominium complex. hereinafter referred to as "Condominium Units", or until the Developer elects to terminate its corttrol of the Association, or until three (3) years from the date of filing the Declararion of Condominium for the.last Atlantis Condomin- ium to be created, whichever occurs fi:-st, no special memhers' meerings shall be called or convened, except with the consent and approval of the Developer . ~ C. Notice of all members' meetings stating the rime and place and the object for which the meeting is called ~hall be given by the President or Vice President or Secretary unless ; «~aived in writing. Such notice shall be in writing to each member at his address as it ap- ~ pears on the books of the Association and shall be mailed by ceriified mail, return receipt ~ requested. not less than fourteen (14) nor more than forty-five (45) days prior to the date g c~f the meeting. Proof of such rnailing shall be given by the affidavit of the person giving the e notice . Norice of ineeting may be waived before or after meetings. Notice of ineetings shall ~ ~e posted conspicuously on the condominium property not later than fourteen (14) days in ~ advance of such meeting for the members' attention . ~ ~ ~ > D. A quorum at members' meetings shall consist of persons entitled to cast a majority ~ of the votes of the eniire membership. The acts approved by a majority of the votes present _ at a meeting at which a quorum is present shall consritute the acts of the members~ except Y ~i•hen approval by a greater number of inembers is required by the Declaration of Condo- ~ minium, the Articles of Incorporation, or these By-Laws. ~ rY } E . Voting ~ 1. In any meeting of inembers the owners of condominium units shall be entitled ; to cast one vote for each condominium unit owned . ; _ 2. If a condominium unit is owned by one person his right to vote shall be estab- - ~isl2ed by the record title to his unit. If any c~ndominium unit is owned by more than one - person, or is under lease, the person entitled to cast the vote for the condominium unit ~ - shall be designated by a certificate signed by all of the record owners of the condominium ; unit and filed with the Secretary of the Association . If a condominium unit is owned by a ; corporation, the person entitled to cast the vote for the condominium unit shall be desigt~a- ted by a certificate signed by the President or Vice President and attested by the Secretary ' or Assistant Secretary of the corporation and filed with the Secretary of the Associatiori . Such ~ certificates shall be valid unril revoked or until superseded by a subsequent certificate or un- til a change in the ownership of the condominium unit concerned. A certificate designating the person entitled to cast the vote of a condominium unit may be revoked by any owner of a - condominium unit.
