~ ASSIGNMENT OF LEASES
THIS ASSIGNMENT OF LEASES is made this 12th day of
January, 1978, by and between I~TDIAN RIVER REFRIGERATION TERMINAL
COMPANY, a Florida corporation ("Assignor")~ and INDIAN RIVER
TERMINAL COMPANY~ a Florida corporation ("Assignee").
WHEREAS, Assignee has on even date herewith~ purchased
certain real property from Assignor as more fully set forth in a
certain Deed of even date; and
WHEREAS, Assignor wishes to convey, transfer and assign
and Assignee wishes to accept the conveyance, transfer and assign-
ment of the Leases ~set forth in Exhibit A attached hereto and made
a part hereof (the "Leases"), which includes.the rental agreements
on Exhibit A.
NOW, THEREFORE,_the parties hereto, intending legally to
be bound. hereby agree as follows: ,
1. Assignor hereby conveys, transfer and assigns the
Leases to Assignee and Assignee hereby accepts the conveyance,
transfer and assignment of the Leases.
2. Assignor hereby represents and warrants to Assignee
as follows:
(a) The Leases are in full force and effect and
there are no defaults thereunder or rights of off-set therefrom
on the part of any tenant.
(b) There are no modifications, amendments or
I other changes with respect to the Leases not set forth and ~
~ adequately disclosed in Exhibit A.

; (c) Except as set forth in Exhibit A, there are
~ no other leases, licenses or rights of use of any kind or type
~ in any way affecting the real property referred to in Exhibit A, ~
except as set forth on the deed of even date.

(d) This Assignment is free and clear of any
right, title or interest of real estate brokers or any other
persons in the rents.
~ N WITNESS tJHEREOF, the parties hereto have executed
~ this Ass~ment of Leases on the day and year first above written.
