7. SMIFAM or the SMITHS shall transfer said property
to NENSEL by Bill Of Sale free of all liens and incumbrances.
8. SMIFAM shall receive and have ~s its own property and
be responsible for the payment therefore all deliveries of ineat sub-
sequent to 8:00 am on February 9, 1978.
9. That all the books, records, business supplies, state- `
ments of account and related items shall be returned by the temporary
receiver to SMIFAM. Provided, however, that HENSEL shall have the
right to inspect and copy the foregoing as they relate to the grocery
division at all reasonable times and places. -
10. That HENSEL shall lease to SMIFAM the portion of the
above described premises where the meat room is presen~ly situate -
for the sum of $160.00 a month plus sales tax for a term o~ one year
with an-option to renew for one additional year. SMIFAM may terminate
i the Lease without penalty upon giving thirty (30) days written notice

; 11. That HENSEL as of February 9, 1978, at 8:00 am shall ~

~ receive the monies for grocery sales and for the sales for taxable

~ items as shown on the register tapes for the days of February 9, 10

~ and llth, 1978, less and excepting therefrom the monies representing
~ ~
~ sales tax collected and 8$ of said sales shall be paid to SMIFAM.
~ These monies shall be paid by the temporary receiver to HENSEL and to
~ S1+~IFAM from the account presently being maintained by the temporary :
~ receiver. Provided, however, that if there are insufficient funds in

~ said account to pay the aforesaid sums to HENSEL or to SMIFAM, the - ~
~ party owing the other shall still be responsible for the payment of
~ said sums .
