16. The parties to this Stipulation shall also cooperate ;
with one another during the term of the mutual non-competition ,
agreement to the extent that they will exercise their best efforts
to refer unsolicited orders for groceries and taxable items to HENSEL
and unsolicited orders for meat and poultry to SMIFAM and shall
generally attempt to cooperate with one another.
17. That the rent as pro-rated betwee~ the parties equals
the sum of $153.03 and HENSEL shall pay said sum to SMIFAM.
18. That the bond given by HENSEL shall be released,
cancelled and discharged without deduction to HENSEL. 7
19. That SMIFAM and the SMITHS waive any and all cZai-ms
of damages as to said bond. j

20. That the parties to this action do waive notice of

hearings and do expressly consent to the Court proceeding ex parte to `

enter such Orders as may be necessary and proper to effectuate the

; intent of this Agreement. . i

` 21. That the temporary receiver, PATRICIA HUGHES, be

~ discharged from her duties by this Court.

~ 22. That the above styled cause be dismissed with prejudice
~ and that the Plaintiff and Defendant shall pay their own costs of suit ~

~ and attorneys fees except that the parties shall share the cost of ,

~ the court reporter who recorded the aforesaid oral stipulation. ;

~ 23. That prior to her discharge by the Court, the temporary ~

' receiver shall transfer to HENSEL, the property as aforedescribed

having been transferred to HENSEL by SMIFAM and shall return to SMIFAM

~ the meat division together with all inventory, equipment, and accounts
