Fleming, as Txustees. the Owner has executed and delivered to the Trustees a certain Security Note (hereinafter called the "Security Note") , of even date herewith payable to the Trustees in the principal sum of 38, 569, 000. OO lawful money of the United States of America together with interest thereon at the rate of 9. ?5$ per annum (or at the highest rate permitted by applicable law . whichever is less) from the date on which the principal thereof shall have become due and payable . whether at maturity or by acceleration. the principal sum of which is due on December 31~ 1998, subject to certain rights of ncceleration as provided therein, and ~ ~ WHEREAS . the Security Note is non-negotiable . is given as collateral security ' for the payment by the Company of its indebtedness issued and to be issued under ~ the Indenture t~nd for the performance by the Company of its obligations contained ~ i in said indebtedness and in the Indenture, and provides for the payment of cost R of collection , including reasonable attorneys' fees and expenses under the circum- stances referred to therein. NOW , THEREFORE, the Owner in consideration of the terms and provisions ~ of the Indenture and to secure the payment of the Security Note as and when due ~ together with all other sums payable hereunder , and the performance of all the ~ ~ ~ terms of the Security Note and this Niortgage, does hereby convey and mortgage ~ - ~ unto the Mortgagees , their successors and assi~ns , certain real property owried ~ ~ by the Owner in St .
