shall divide the corpus of the trust estate into two equal shares
and shall pay over tree from trust one of the said shares to my ;
son, JAMES W. BEARDSLEY, and the other share to my son, CHARLES
F, BEARDSLEY, whereupon this Trust shall wholly cease and deter-

mine. In the event that one or-both of my said sons shall not

then be living, then and in that event, the share or shares of ;
the deceased son or sons sh all be paid over to the issue of the

deceased son or sons per stirpes.
THIRD: I hereby give and grant unto my Trustee and

authority:
A. To hold or retain all or any part of my ,
- estate in the form in which the same may be at the time of my s

decease, or at the time of the receipt thereof by my Trustee ~

from my Executor, as long as it may c7eem advisable, whether or ~

not the same is of a class in which Executors or Trustees are ~
authorized by law or any rule of Court in any jurisdiction to ~

invest Trust funds. ~ ~

B. To make distribution in kind or in cash, or ~

partly in kind and partly in cash, to the extent permitted by
law, and the determination of my said Executor or Trustee as
to fairness and equality of any such distribution shall be
