THIRD: I give, devise and bequeath all the rest,
residue and remainder of my estate, whether real or personal,
and wherever situate, to the FIRST NATIONAL BANK AND TRUST
COMPANY OF STUART, Stuart, Florida, as Trustee under the "Trust Agree-
ment."
FOURTH: I constitute•and appoint my wife, NAZEL H. HOYT,
- as Executrix of this my Last Will and Testament. In the event she
is unable or unwilling to serve as Executrix, I constitute and

appoint the FIRST NATIONAL BANK AND TRUST COI~ANY OF STUART,'Stuart,
Florida, or any~company which may succeed to its trust business, as
Alternate Executor. I direct that neither my Executrix nor my
Alternate Executor be required to give bond for the performance of
her or its duties hereunder.
FIFTH: I hereby authorize and direct that my Executrix
or my Alternate Executor, if it is serving as Executor, prior to
turning the net assets of my estate over to the Trustee, shall
have all the powers granted to the Trustee under the "Trust Agree-
ment. "
I give my Executrix full power, without'order of court,
to settle, compromise and compound any and all claims that may be
due or alleged to be due from me or my estate. I authorize my said -
Executrix to retain and hold any and all property, real or personal,
which may come into her hands as Executrix and to make any and all
payments necessary or in her sole opinion proper to keep up and
maintain said property during, the process of administration; to
sell, at public or private sale, for cash or on credit and upon such
terms as she may deem proper, any property at any time held by her.
