a i~ember shall be sub~ect to and bound by all of the prov±sions
of this Agreement as if originally a party to this Agreement.
G. In the ever.t a vote of the Limited Partners shall be
. taken pursuant to this Agreement for any reason, a Limited
Partner shall, solely for the purpose of determining the num-
ber of Units held by him in determining his vote; be deemed
the owner of any Units assigned by him in respect to which thz
assignee has not become a Limited Partner.
H. Upon the death or legal incompetency of a Limited
Partner, the personal representative, guardian or other suc-
cessor in interest of such Limited Partner shall have all the
rights of a Limited Partner for the sole purpose of settling
the estate cr business of such Limited Partner; provided, however,
that such personal representative, guardian or other successor
in interest, or the estate of such Limited Partner, may be
substitut~u z~ a Limited Partner or may assign such interest
in t~e i_^~~Jc Partnership (or any Unit constituting a part .
thereof) to ~h~ extent permitted by, and under the terms and
condi~io~s s~ecified ~y, this Sec~ion 16.
Section 17. Right of First Re~usal
A. In the even~ that 2.ny Limited Partner shall desire to
sell, and s~all receive a bona fide written offer for, any or
all of his Units in ~he Limited Partnership, which offer is
acceptable to such Limited Partn~r (hereinafter referred to
as the "Seller"), the Seller may not sell any or all of the
Units which he then owns until he shall have complied with the
following requirements and limita~ions:
1. The Seller shall deliver by hand or by certified mail
a copy of the full and detailed t.erms of such offer and the-
nane of the offerer ~o all of the Members other than hi~seli.
Such offer shall thereupon be deemed to be an offer by the
