fourteen (14) days after receipt of the o£fer, as to whether
he re~ects or accepts such offer. Such offer shall be deemed
to have been re~ected by any Member whose acceptance of the same
is not received by the General Partner by•the end of the afore-
said fourteen (14) day period. Any Member (hereinafter referred
to as a"Purchasing ~ember") desiring to purchas° less than
the entire in~erest offered shall set forth in his letter of
acceptance the number of Units which such Purchasing Member
is willir.g to purcha9e, if avaiZable.
2. In the event that the aggregate total of Units accepted,
~ as aforesaid, by the Purchasing Members is less than the entire
Units offered by the Seller, the Sell~r shall have the right
to seZl the entire Units so offered to the original offerer ;
within twenty-eight (28) days from the date of delivery or ~

4. In the event that the aggregate total oi the Units
~ accepted as aforesaid by the Purchasing ~1°mbers shall exceed
th.e Units offered by the Seller, the General Partner shall
allocate among the Purchasing i~iembers the Units offered ~y ~he
Seller in proportion to the number of Units which e2ch Pur-
