in his name, place and stead; to make, execute, acknowledge,
file and record:
1. A Certificate of Limited Partnsrship, as well as
amendments thereto, under the laws of the State of Florida;
and ~
2. Any certificate or other instrur,ient which may be
required to be filed by the Limited Partnership under the lat~s
of any state or by an~ governmental agency, or which the
General Partner deems it advisable to fi.le as well as amend-
ments thereto; and -
3. Any documents and amendments thereto which may be
required to effect the admission of a Substituted Limited
Partner, or the dissolution.and termination of the Limited
Partnersh?p, grovided such admission or dissolution and ter-
rnination are in-accordance with the terms of this~Agreement; and
4. ~r.y ~.r~s~ruments of transfer and.conveyance, including ~
but :~at ?j~-~°~ to deeds, notes, mortg2ges, security instru-
ments oi ary kind, leases and any other instruments in can- ~
nection wiv: t~e activities of the Limited Partnership; it
being expiASJIy understood and intended by the Limited Partners

~ The for~going power of attorney shall survive the delivery
~ of an assignment by the Limited Partner of the whole or any ~

portion of his limited partnership interest, except that where '

~ approved by the General Partner as a Substituted Limited Partn~r,

Partner, shall survive the delivery of such assignment for the
