Unless otherwise specified therein, such resiqnation shall take effect upon receipt thereof by the Secreta.ry. Commencing with the organizational meeting of a newly elected P~ard of Administration f~Ilowing the first annual meeting of _ the members of the Association, more than three (3) consecutive absences from regular meetings of the ~ard of Administration, unless excused by resolution of the I~ard of Administration, shall automati~ally constitute a resignation effective when such resiqnation is accepted by the ~oarci of ~ Administra,tion. Commencing with the Administrators elected at such first annual meeting of the membership, the transfer of title of his parcel or ~ Interval Cwnership by an Administrator shall automatically constitute a resignation, effective when sucl~ resignation is accepted by the Poard of Administration. No member shall continue to serve on the F~ard shonld he be more~ th3n thirty (30) days delinquent in the payment of an assessment where the same are required by the reclaration, and said delinquency shall automatically constitute a resignation, effective when such resignati~n is - - accepted by the Eoard of Administration: - Section 7. Requl3r Meetings. The £-Qard of Admini~tration may establish a schedule of regular meetinqs to be held at such time and place a~ the L~oard of Administration may designate. Notice of su~h regular meetinqs shall nevertheless, be given to each Administrator by certified mail, or telegraph at least five (5) ~ys prior to the day named for such meeting. Section 8. Special Meetings. Special meetings of the Eoard of Administration may be called by the Pre~?dent, and in his absence, by the Vice-President, or by a majority of the members of the Poard of Admini- stra.tion, by giving five (5) days_ noti~e in writing to all of the members of the ~oard of Administration of the time and place of said meetinq. All notices of special meetings shall sta.te the purpose of the meeting. Se^tion 9, All meetinqs of the Fo3rd shall be open to all unit t owners and notice of such meetings shall be conspicuously posted upon t-he ; conciominium property at least forty-eiqht (48) hours prior t~ the meeting. e ~ Section 10. Administrators' V~'aiver of Notice. Pefore or at any meeting of the Poard of Administration, any Administrator may waive notice of su~h meeting and such waiver shall be deemed equ ivalent to the giving of notice. Attendance by an Administrator at any meetinq of the Poard shall be a waiver of notice by him of the time and place thereof~. If all of the Admin- istrat~rs are present at any meetir~g of the Foard, no notice (other tha.n that required in Section 9)_ shall be required and any busiriess may be transacted at such meeting. Section 11, uorum. At alI meetings of the L~~ard of Administra- tion, a maj~rity of the Administra.tors shall constitute a quorum for the . transaction of business, and the acts of the majority of the Administrators ~ present at such meetings at which a quorum is present, shall be the acts of ~ ~ the Loard of Administration (unle~s a greater vote is required upon a parti- ~ cular matter or subject). In. determining whether a quorum is present, proxies may be counted as persons present. If at any meeting of the R~ard of Administration, there is less than a quorum present, the majority of those present may adj~urn the meeting from time to time until a quorum (which may include in lieu of presence of an Administra.tor, his v~te in writinq up~n the matter(s) and/or subject(s) to be considered), is present. - A t ea.ch such adjo~rned meeting, only such business as might ha.ve been w. R. scorr tra.nsacted at the meet~nq, as origina.lly ca.lled, may be transacted without ~rroiet~cr wT uw ~rther notice.
