Section 12. Compensation. There shall be no Administrator's ;
fees. or compensation paid to the Poard of Adminis!ration or its members for ;
the performance of their duties. ~
Section 13: Until the L~eveloper elects or is obligate~ to, by the
Condominium Act or by Section 11 hereof, allow the e3ection of one or more
Administrators by the Unit Cwners other than L`eveloper, all Administra.tors
shall be designated by the Developer and need not be unit owners in the
C~ndominium and may not kie removed by members of the Association, as
el~ewhere provided herein; and ~~here a vacancy occurs for any reason
whatsoever; the vacancy shall be filled by the person designated by the
L~eveloper. Thereafter, the L`eveloper shall have the right to desiqna.te
Administrators other than those which Unit Cwners other than L~eveloper
have the right to elect, and as to those des iqnated by L`eveloper, the pro- -
visi~ns ~f this Section shall apply.
Secti~n 14. The Management Firm, as long a~ the Managennent
Aqreement remains in effect, shall be entitled to notice of all meetinqs of
the L~oard of'Administra,tion and ~hall be entitled to attend the said meetinqs
and it may designate such person(s) as it desires to attend such meetinqs on
its behalf.
~ Section 15. P~wers and L`uties. The ~oard of Administration of
the Association shall have the powers and duties necessary for the admin-
istra.tion of the affairs of the Association and zri~ay do all such acts and things
as are not by law or by the L~eclaratian and the Exhibifs dire~ted to be
exercised and done by Unit Cwners. These powers and duties may be assigne
to the Management Firm unless otherwise forbidden. 'These powers sha12
specificall,y include, but sha~l not be limited to, the following;

(a~ .To exercise all powers specifically ~et fortn in the L`eclaration
and F~hibits, any amendment to the foregoinq, and in the Condominium A ~t,
and all powers incidental thereto. - -
(b) To make assessment~, c~llect said assessment~, and use and
expend assessments and fees co;.lected to carry out the purposes and powers
of the Associ~,tion.
To employ, dismiss and control the personnel necessary for
the maintenance and operation of the Condominium, and o,f the comrr.on areas
and fa.cilities there~f, including the right and Qower to employ attorneys,
• accountants, contractors, and other professionals as the need arises.

(d) To make and amend regulati~ns respecting the opera.tion and
use of the common elements and Condominium Property and facilities, and
the use and maintena.nce of the Condom~inium units therein.
(e) To c~ntra.ct for the management of the Condominium and to
delegate to such contracto_r (the Management Firm) all of the powers and
duties of the Association and of the ~oard of A dministration except those
which may be required by the reclaration and Exhibits and/or the Condo-
minium Act to have approva.l of th.e goard of Administration ~rmembership
of the Association, and to contract for the management ~r operation of
portions of the common elements or fa~ilities susceptible to the separate
mana.qement or operation thereof, and to lease to ~oncessionG such portions.
(fl To further improve the ~ondominium property, both real and
personal and to purcha.se realty and items of furniture, furnishing, fixtures
w. R. scorr and equipment for the foregoing, and to acquire and enter into agreements
- pursuant to Section 711.121 Et ~eq., Florida Sta.tutes, as amended, sub-
ject to the ~rovisions of the L~eclaration and Exhibits.
