HomeMy WebLinkAbout0691 (g) To designate one or more committees which, to the extent ~ provided in the resolution designating said committee, shall have the . powers of the Poard of Administration in the mar.agement and affairs and business of the Associa.tion. Any such committee shall consist of at least ~ three (3) members of the Association. The ~ommittee or committees shall have such name or names as may be determined from time at time by the Board of Administration, and said cotnmittee(s) shall keep regitlar Minutes ~ of their proceedings and report the same to the ~oard of Admini~tra.tion ~r Manaqement F irm, as required. ARTICLE V. CFFICERS . ' - Section 1, Elective Cfficers. The principad ~fficers of the A~s~ciation shall be a President, Vice-Presdient, a Secretary and a Treasure , all of whom shall be elected by the R~ard of Administra.tion, Cne person may not hold more t'~an one ~f the aforementioned offices, except that one person may be both Secreta.ry and Treasurer. The Pre~ident and Vice-President ~hall~be member~ of the R~ard of Administra.- tion, Nbtwithstandinq the foregoing, the restricEion as to one person holding~ only one of the aforementioned offices or the President and Vice-President beinq membzrs of the Eoard of Administration shall not apply until the. time the Leveloper gives up or loses control of the F~ard of Administra.tion as is ~ provided in A rticle III, Section 7, Se^tion 2, ~Elzction. The Cfficers of the Asso~ia,tion designa.ted in ~e~tion 1 above ~hall be elected annually by the Loard of A dministration at the organizati~nal meetinq of each new Paard following the meeting of the member~. ~e~tion 3, _A ppointive Cfficers. The Foard may appoint Assistant Secretaries and Assista.nt Treasurers, and su~h other Cfficers as the F~ard of Administration deems neceGsa.ry. Section 4, Term. The Cfficers of the Associa.tion stiall hold offi~e for one (1) year and until their suc~essors are chosen and qualify in their stead. Any officer elected or appointed by the L~ard of Administra.tion may be removed at any time, with ~r without ~ause, by the Poard ~f Admin- istration, provided, however, that no Cfficer shall be removed except by the affirmative vote for removal by a majority of the whole L~~ard of Administra- tion (e.g., if the F~ard of-Administrati~n is eomposed of five persons; then three of ~id Administra.tors must vote for removal). If t"~e ~ffice of any Cffic~r becomes vacant for any reason, the va^a,ncy shall be ~filled by the ~ Poa rd of A dm inistration. . Se~tion 5. The Presic~ent, He s!~all be the chief exe~utive offi~er of the Asso~iation; he shall preside at all meetings of Ehe unit owners and of the Poard of Administra.tion. He s:la.ll have executive powerj and general supervision aver the affairs of the Association and other officers. He sha11 sign all written ^ontra.cts and perform all of the duties incident to his office and which may be delega.ted to him from ti.me to time by the ~oard of A dministration. , Section E, 1fie Vice-President.
