The Mana.gement Firm shall have sole discretion during the term of this Agreement for making determination as to replacements of personal property located within such units, decor and all other such judq- ments relatinq to parcels committed to Interval Cwnership; however, notwithstanding the foreqoing, all replacements shall be such as to mainta.in the standard of quality of the furniture and property and decor and the decorati ny scheme . as origina.lly conta,ined in such unit at the time it was commited to Inte rva.l Cw ne rs!~ i p. ~(2) It is understood by all parties and all partieG, their members, employees and agents do agree, that a portion ~ ~f the maintena.nce fee may, and will be, set aside as a reserve for future replacements and repa.irs. 1fie Manage- ment Firm shall have sole discretion as t~ the amounts of such reserves and the application of the same. (j) Collect and deposit all funds (from the Ass~cia.tion) and i~ members or otherwise) accruing to the Association in a separate bank account apart from accounts of the Marragement Firm in banks and/or savings and loan ~.ssaciations or other depositories in the ~tate of Florida ~ with suitable designation indicatinq their source. j _ (k) To cause a representative of the Manaqement Firm to attend meetinqs of the Unit Cwners and of the goard of Administration of the Assoc- ; iation and of the Association; however, it is understood and agreed that the j - Minutes of all meetings of the Association, whether of Unit Cwners or of the - ` Loard of Administrat~on, shall be taken by the Secretary of the Associa.tion ~ and possession of the minute books shall be in the custody of ca.id Secreta,ry 'j who shall; at all times, be responsible for preparing and furniGhing Notices - 4 of all meetinqs to all parties. ~ (1) Promulgate, adopt, amend, publish and enforce all rules and regulations ( includinq the Turtle Reef Rules) regarding the -use of any and a all amenities contained within the Association as it deems. advisable in its sole discret ion, for the use and occupancy of the common elements, limited common elements, and units of the Turtle Reef Condominiums II. The ~ Management Firm, with the counsel and advi~e of the Loard shall determine all activities, and' progra.ms, to be ca.rried on as to the sa.me and shall employ the personnel required therefor as it determines in its ~ole discretion. The Management Firm shal~ have the right to provide and perform, at its discretion, special services for or ~n behalf of any Unit Cwner requesting ~ ~ the same and in such case, such sum as agreed to by the parties shall be a ; ~ specia.l assessment against the appli~able Uni~ Cwner-and his interest in his f ~ parcel ( or Interva.l Cwnership therein) and said assessment shall have the s same foree and effect as all other assessments for common expenses aga.inst ~ ~ Unit Cwners and their pa.rcels (or Interval Cwnership therein). ~ ~ (m) Such 3ltera.tions and/~r additions to the common elements ~ and 1 im ited common elements of the A ssoc iation property to be made as auth- ~ w.
