THIS AGREEMENT, made and entered into the 8th day of
June, 1978, by and between WILLIAM H. MEYER, JR., M.D., P.A.,
a Florida professional corporation, and JOHN B. SULLIVAII, -
1?i.D., P.A., a Florida professional corporation, General
Partners, and Florintino N. Arriola, Romeo C. Ba~iton,
Ibrahira Bohsali, Robert P. Dimmett, Antonio V. Hernandez,
H. Hooshmand, Hooshang Kadivar, Shaik A. Khuddus, Ezra
M~rshall, t~lilliam H. Meyer, Jr., A D. Orr, William A. 6tolzer,

WHEREAS, the parties hereto did previously form,:,by s•

agreement effective December 15, 1977, a Limited Parti~'~sh~g

under the laws of the State of Florida, which Limited
Partnership is named LAWNWOOD MEDICAL ASSOCZATES, LTD.; and
WHEREAS, the parties desire and intend to amend said "
Partnership Agreement as fully set forth hereinbelow; ~
NOW THEREFORE, in consideration of the foregoing and
~ other g~od and valuable considerations, receipt of which is
~ hereby acknowledged, and'the respective undertakings here-

inbelow set forth, the parties hereto agree as follows:
~ 1. The real property description set forth in Exhibit
"A" attached to said Partnership Agreement shall be, and
