The per pound aolide prioe will be based upon chilled juice sales and will be arrived at ae follows: The average net amoun! received per
gallon of all the chiUed juioe sold by the Buyer betwcen December 1 and March 31(aRer the above dedu'ousl will be multiplied by the
number of gallons yielded by all of the early and midseason fivit reoeived irom all souroea. Then, thepetpo und solida price for all
euppGers equally will be arrived at by dividing euch total prioe by the number of pounds of solids in the total gallons yielded. The amount
owed by the Buyer to the Grower for the eariy and midseason tndt w~ll be the price per pound of solids thus arrived at, times thepounda of
eolids yielded b~? the early and mideeason frnit delivered to and reoeived by the Buyer from the Gmwer. P~om this 5na1 price there shall
be deducted, before payment, any ooat of piching, loading, or transpotting that may be due to the Buyer and less any advancee made and
lesa the pmportionate amount of any State or Federal ta~c measured by the amount of fn~it bought or proceeeed by Buyer. Payment due at
euch time will be made within thirty (30) deYs of ite determination.
ln arriving at the price for the seoond category of hvit deecribed above, that ie the late eeason fruit, the eame method shall be ueed,
except that it ahalt be baeed upon chilled juice sold by the Buyer between April 1 and November 30.
'll~e amount due for the two categories ehall be the final price for all orangee reoeived by the Buyer from ihe Grower for the eeason.
Promptly aRer a determination of such final price. the partiea shall, by payment, setde the amounte due between them by Januery 15 of
the preoeding growing eeason. This agreement will be biading upon the Buyer only after it hae been eigned by one of the Buyer's officers.
My determination as to classi6cation, or quantity of fruit received. or aa to gallonage and/or pounda of eolide shall be as reported by
daily tests made by Florida State Inspectore. etationed at the premieee of the Buyer. The Buyer ie reeponeible for all juice trom the
Grower e fruit as reported by said inapectors and Buyer will not deduct for spoilage, breakage. or any other loea of juice occurring after
the fruit has been received and accepted by Buyer.
The Buyer will submit to the Grower a figure determined by Buyer to be the per pound of eolida price for the season and the number of
pounde of eolida received from the Grower as rnported by U.S.D.A. daily report. The figurea aubmitted by Buyer will be certified to by a
C.P.A. firm.
The within Agreement ie for ORe mowing eeaeona beginning with the 1978-1979 ,waBOn and will be
continued thernafter until one of the partie8 gives to the other notice by regietered or certified mail of ita intention not to continue for the
next season etarting October 1. For euch notice to be effective, it muat be sent not later tha~ June 30 before the next growing eeason.
Grower may not validly send any euch notice while Gtower is indebted to Buyer. If after the final determination of amounte due between
the partiea it ahell develop that one of the partiee hereto ia indebted to the other, the forngoing notice oltermination, if sent by the debtor,
~ ehall not be effective until eaid debtor ahali make full payment to the creditor. The growing season shall be the period from October 1
chmugh July 3o each year.

I Notwithatanding the above, Buyer ehall have the right to increaee the deduction for the operating expenses as aet forth but only to the
e:tent that such coete are incurred by Buyer. Buyer ehall notify Seller in advance of any growing seaeon that such increase will be
deducted.

i Grower wanants qood title to the grovee deecribed in this Agreement and to the fruit produced in said grovee, with lawful right to enter
