DEFINED-d£NEFI'P PE:NSION PLAN At~D TRUS'F A:~Rt'EMI'~T
WHEREAS~ it is the intention of the Employer to es-
-tablish, or, if appropriate and authorized by a Resoiution of the
Board of~Directors attached hereto, to amend anc~ restate a Pension
Plan and Trust for the sole and excZusive benefit of its eligible
employees who qualify as Participants hereunder and their bene- ~
ficiaries, as herein provided under the provisions of Section 401
of the Intetnal Revenue Code, as amended by the Enployee Retire-
ment Income Security Act of 1974, and to make contributions theret~
under the provisions oE Secti~n 404(a) of Said Internal Revenue ~
Code as amended; and
. WNEREAS, it is in~the int~ntion of the Em~loyer and
the Trustee to operatc this Pl~n and Trust in accordance with the :
orovisions of the Internal Revenue Code as amende~ by the
Employee Retirement Income Security-Act of 1974, as interpreted =
by regu2ations E~rescribed by the Oepa~tment of the Treasu~y and
the Secretary~of Labor; and
l WHERE~S, this Agreement incorporates the provision of
the Pension Plan and related Trust; and
WHEREAS, the parties of this Agreement are the Employei
and the Trustee who have executed and accepted said agreement;
and
- WHEREAS, the P1 an anrl Tr ust er~bod ied her e in have been
duly approved and authorized by the Doard oE Directors of said
Employer and constitute the Agreement between the parties;
