III:3 The named Eiduciaries of the Pian at any rime shall
be the members nf the Pension Committee at rh~t time.
The Pension Committee shall have the authc~rity to '
control and manaqe the operation and admi~istration
of this Plan. The Committee shall be empowered to
allocate responsibilities amonq its members or de-
signate other persons to carry out such responsi-
bilities provided such allocation or desi~~nation is
set forth in writing and recorded an the minutes of a
special meeting of the committee ca•lled fo~ such
purpose. The Pension Committee shall discharge its
duties~with respect to the Plan with the care, pru-
dence, and diligence under the circujnstances then
prevailing that a prudent man acting in a like ca-
pacity and familiar with such matters would use in
the conduct of an enterprise of a like character with
similar purposes.
III:4 No member oE the Committee who is a Participant shall
take any part in any action in connection with his ~
participation as an individual. Such action shall be
voted or decided by the remaining members of the -
Committ~e. -
~ III:S In all matters, questions and decisions, the action
of the Committee shall be determined by a ~najority -
vote oE its members. They may meet inEormally or
takp any ordinary action without the necessity of
meetin~7 as a ~roup.
III:6 The Comnittee shall appoint Erom its members a Chair-
nan and shatl ~lsc~ appoint a Secretary who may or may
not be a me~nber of the Committee. The Secretary
shall kPep such records as may be necessary of the
acts and resolutions of the Committee and be prepared
to fu~nish reports thereof to the Employer.
Except as otherwise provided, all instruments executed
by the Committee shall be executed by a majority of
its members. - ~

III:7 Upon the death, resignation or removal of a member of ~
the Committee the Board shall appoint a successor.'It '
shall be the duty of the Secretary to notify the ~
Board of any vacancy.
