(d) Any amounts payable by the wmployer or any
Participant to provide the beneEits payable
under the Plan.
(e) The anount of any life insurance or retire-
ment annuity contract to be purc~~ased here-
under, and the Trustee shall have no liabflity
for nayment of premiums, or with respect to
any default in the payment of premiums, with
respect to any of the same except insofar as
the Trustee shall be provided with funds for
the payment of the sarae and shall be expressly
d irected in wr iting by the Cori~;~ittee within a
reasonable time in advance of the due date
thereof to pay each and every periodic pcemium
~r other payment which shall becone due with
respect thereto.
XIII:S The Employer hereby indemniEies the `Prustee against, .
and agrees to hold the Trustee harmless tron, all liabili-
. ties and clair:~s (including ceasonable attorneys' fees
and expenses in defending against such liabilities and
clains) against 'I'rustee as a result of Trustee's perfor-
mance under tt~is Trust, except liabilities and claims
arising from `1'rustee's willful misconduct or gcoss
negZigence. •
The Employer ayrees to pay to the ~rustee fro~ time to
time on.its aemand such compensation f~r ait services
rendered hy the ~Prust~e hereunder as sh~ll be nutually~
agreed upon by the Enploye~ and the Trustee ana Eor .all
reasonable expenses of the Trustee, incurre~ in khe a3-
ninistcation and perfo~raance of the uuites ~f the -
Trustee hereunder, and until paid, the irustee shall
have a 2ien or~ the Trust assets for the ~•ayment p~ a_ny
such fees tl~at are ~ue. Anything in the Eoregoinc; to
the contrary notwithstanding, any rer~on who is a co~r-
Pensated full-time enployee of the ~mployer r~ay not
receive com~ensation from the Trust Account for services
rendered on behalf of the P1an~and Trust.
XIII:6 The Trustee shall discharge his duties with respect to ~
the Trust solely in the interest of the Participants
and_their beneficiaries in accordance with the terms
and conditions of this Z'rust insofar as the ter?as and
conditions of this Trust are consistent with the pro-
visions of Title I of the Employee Retirement Incone
Security Act of 1974.
