For value received, VENTURE ACCEPTANCE CORPORATION, a
corporation organized and existing under the laws of Delaware
and domesticated to do business in the State of Florida, and
THE FIRST NATIONAL BANK OF ATLANTA, hereby sell, assign and
, transfer to VENTURE Oi.TP IN AMERZCA, INC. all righ t, title and
interest in and to all those certain Mortgages described and
listed in Exhibit 'A' attached hereto and made a part hereof~,
~recorded in the official records of St. Lucie County, Florida,
together with the real property described therein, the indebted-
ness secured thereby as evidenced by a promissory note, and all
money due or to become due thereunder, and all rights, powers,
and privileges accrued or to accrue to the Mortgagee under the
Mortgage.
IN WITNESS WHEREOF, Venture Acceptance Corporation and The
First National Bank of Atlanta have caused this instrument to
