WHEREAS, the MORTGAGEE did make a loan in the
oriainal principal sum of $600,000.00 to FLORISTS on or ;

WHEREAS, as security for the loan evidenced by

the financing statement by FLORISTS to MORTGAGEE; and ~

WHEREAS, as further security for the loan evidenced

and deliver to MORTGAGEE its quaranty absolutely quaranteeing ~

payment of the indebtedness of FLORISTS to MORTGAGEE in an un-

bv the said note dated June 28, 1977, GUARANTORS did make, ~
execute and deliver to MORTGAGEE their guaranty-jointly and ~
