CERTIFICATE OF CORPORATE BY-LAWS
1, the undersigned, of the Board of American Missions of the Lutheran Church in
America, a religious corporation duly organi2ed and existirtg under the laws of the State
of Minnesota, and having its principal place of business at 231 Madison Avenue, New
York, New Yor 0,~,! h~ ce?tiiy that at the meetings of ,said Board, duly call ed
and held U~rums being present, the following amendments to the
by-laws were adopted, and have not been amended or modified, and are not inconsistent

The president or the vice president or the assistant vice p~esident or an assistant
secreta~y or the treasurer or an assistant treasurer of this corporation shall have authority
to execute in the name of this corporation corporate documents of every nature including
documents for the sale, conveyance, morigaging and pledging of the assets, the bor~owing
of money and establishrr2~~t of terms of necessa~y financing, all documents required by
statutes to be filed in the office of the Secretary of State or similar office oi the several
states and.possessions of the United States, and all othet legal i~struments necessary
to carry out the work of the board. Any and all such documents shall be attested, where
required by law, and the corporate seal of the board affixed by the s e c r e ta r y or an
~ assistant secretary of this corporation. Copies of any a»d all ?esolutions pertaining to
specific transactions shall be entered on the prototol and all such transactions shall be
repflrted to the board.
