THIS CAUSE having come on to be heard upon Plaintiffs'
Motion for Final Approval of Settlement Agreement and Dismissal
of Action, and the Court having found that the Notice of Class
Action and .Settlement has been properly distributed to the members
t
of the class herein, and that no objections to the .settlement have
been made, and the Court being otherwise fully advised in the
premises, it is hereupon
ORDERED AND ADJUDGED as follows:

1. Plaintiffs' Motion-for Final Approval of Settlement
f Agreement and Dismissal of Action be, and the same is, hereby
granted.
2. The Settlement Stipulation and Agreement for and Grant
of Easements and Other Rights ("Settlement Agreement") between
the parties, a duplicate original of which is attached hereto and
made a part of this Final Order, is hereby approved as a final and
binding settlement of this action.
3. This action is hereby dismissed, with prejudice, this
Court reserving jurisdiction solely for the purpose of enforcing
the terms of the Settlement Agreement.
