COVENANT AGAINST ENCUMBRANCES
THIS INDENTURE, executed the 28th day of December 1978, by HOLIDAY
YIi~E5, a Florida General Partnership,~aving its princ pal place of business
in St. Lucie County, Florida, hereinafter called the "Mortgagor", to GENERAL
ELECTRIC CREDIT CORPORATION, a New York corporation, hereinafter called the
"Mortgagee".
WITNESSETH, that for divers good and valuable considerations, and
also in consideration of the aggregate sum named in the Promissory Note
and Mortgage of even date herewith, by and between the parties hereto, the
said Mortgagor does hereby covenant not to encumber all that certain
tract of land of which the said Mortgagor is now seized and possessed
and in actual possession, situate in St. Lucie County, State of Florida
uescrlbed as follows:

- AND INCORPORATED HEREIN
And said Mortgagor, for itself and its successors, legal represen-
tatives and assigns, does hereby covenant with said Mortgagee that it
shall not pledge the real property set forth herein, the improvements
t:.hereon, the fixtures or personal property used thereon, as collateral
security for any other .loans obtained by it, without first obtaining the
I•fortgagee's written consent, unless the herein-referred to Mortgage and
:vote have been satisfied.
And further, that the said premises are at the time of .the execution
':ereof, free from all encumbrances, except that certain Mortgage and Note
of even date herewith, by and between the above-mentioned parties.
Iid WITI3ESS WHEREOF, the Mortgagor has caused these presents to be
signed by one of its Partners the day and year first above written.
