This indenture made this 11th day of January, 1979 ~ ~ 5

between Fort Pierce Jai-Alai, Inc. , a Florida
corporatipn with its principal place of business in Fort Pierce, Florida
party of the first part, and WJA Realty Limited Partnership, a
Massachusetts limited partnership, having its principal place of
business and address at 100 Federal Street, Room 3500, Boston,
N.assachusetts 02110, party of the second part.
Whereas, t2~.e party of the first part has adopted a plan
of dissolution and liquidation; .
Whereas, the party of the second part is the owner of
all the issued and outstanding capital stock of the party of the
first part; and.. -
\ ,fir Whereas, in accordance with said plan of dissolution
and liquidation, the party of the first part is meant to transfer
to the party of the second part the real property owned by said
party of the first part located in St~. Lucie County, Florida.
Witnesseth:
That the said party of the first part has remised, re-
leased and quitclaimed to the said party of the second part,
its successors and assigns forever, the real estate in the
County of St. Lucie State of Florida, described in

Schedule A attached hereto and incorporated herein by reference.
