and delivery of this Agreement, the receipt whereof is hereby acknow-
ledged, the parties hereby covenant, promise, and aqree to and with
each other as to the followinq:
1. The WHEREAS clauses set forth hereinabove form the
factual basis for this Agreement and are expressly incorporated herein~
and made a part hereof.
2. Assignors do hereby assign, transfer, bargain, and sale
to Assignee all of their riqht, title, and interest in, under, and to
said Agreement for Deed and the real property described therein and do
grant, bargain, sale, and convey all of their interest in said real
property to Assignee. •
3. Assignee does hereby accept the foregoing Assignment on
the date first~above written and hereby assumes and agrees to perform
~the convenants of the Assignors thereunder.
4. It is the intention of the parties hereto to bind them-
selves,-their heirs, legal representatives, assigns, personal represen-
tatives, and other unnamed successors in legal and equitable interest.

5. The provisions of the Contract for Sale and Purchase
~ executed by the Assignors and Assignee on January 16, 1979, shall sur-
