ASSUMPTION AND MODIFICATION AGREEMENT `
THIS ASSUMPTION AND MODIFICATION AGREEMENT is
entered into this 5th day of January ,
19 79, by and between First Newport Realty Investors,

formerly Alison Mortgage ~ nvestment Trust, (hereinafter
called "Mortgagee"), Otho B. Bruce and Mary M. Bruce
(hereinafter called "Mortgagors", whether one or more than
one), and Vincent E. Shogren and Lois C. Shogren
(hereinafter called "Grantees", whether one or more than -
one). _

WHEREAS, Mortgagors have given to Allstate Enter-
prises Mortgage Corporation, an Ohio corporation,-(herein,
