estate shall be by wa~y of purchase ~of assets oc loans as authorized
in Article V, paragraphs 2 and 3 thereof.
However, if a part of the princip~i should be ffnally
.determined to be includible in the estate of Donor or a be~eficiary
~or Tennessee inheritance tax or federal estate tax purpose$, then

from such part of the principal as is so finally determined to be
includible, the Trustees may, but is.not required to, pay to the
executor af the estate of Donor or a beneficiary such swn as the ~
executor may certify to be due and payable as a proportionate
share of said inheritance or estate tax, inc~luding interest and
- penalties tfiereon, due from or assessed against the estate of
Donor or of such beneficiary= provided, however, none of said
swas shall be paid from the proceeas of a plar~ qualified urider
. Section 401(a) of the Internal Revenue_Code of 1954 or its successor.
The certificate of the executor of the estate of Donor or of such
beneficiary as to the proportionate share.of such tax shall be
sufficient authority to the Trustees to pay the same and shall be
bindinq and conclusive upon each beneficiary. • .
VII. LIABILITY OF TROSTEE
! The Trustees herein named, and any successor trustees or
~ co-tFUStees, shall not be liable for any errors in judqment in the

exercise of the powers conferred upon them by this-Aqreement, and
~ •shall be liable only for qross negligence, bad faith and wron ful

aPpropriation. -
VIIZ.• COMPENSATIQN AND BOND
The Trustees shall be entitled to reasonable compensation by
reason of their office,, ansl shall be entitled to take credit for
any and all expenses reasonably incurred in the administration,
operation or preservation of the trust estate. Neither the Trustees,~

~ nor any successor trustee or co-trustee, whether individual or

~ corporation, shall be required to furn~h bond with res
~ pect to -
~ property conveyed in trust contemporaneously rrith the execution of-
