, of the Units of a Limited Partner, even if it results in the substitution of
the assignee as a Limited Partner, shall release the assignor frosi any
liabilities or obligations to the Li®ited Partnership:
E. Any assignee pursuant to this Section adwitted as a -
lieaber shall be subject to and bound by all of the provisions of this Agreeaent
as if originally a party to this Agreement.
F. In tl~e event a vote of the Limited Partners shall be
taken pursuant to this Agreement for any reason, a Li®ited Partner shall
solely for the purpose of determining the number of Units held by his in
determining his vote, be deemed the owner of any Units-assigned'by him in .
respect tp which the assignee has not become a Limited Partner.
G. Upon the death or legal incompentency of a Limited
Partner, the personal representative,~guardian or other successor in interest
of such Limited Partner; provided, however., that such personal representative.,
.•s guardian or other successor in interest, or the estate of such Limited =
Partner, may be substituted as a Limited Partner or may assign such interest
in. the Limited Partnership (or any Unit constituting a part thereof) to the
extent permitted by, and under the terms and conditions specified by this .

Section Fourteen. -
SECTION FIFTEEN: AMENDMENT OF THIS AGREEMENT
A. This Agreement may be amended only by a resolution
affirmed by Members owning a majority of the Units then owned, except that
no amendment may be made which:
1. Would change the rights and interests of_the General _
Partner, or the Limited Partners in relation to the rights and interests of
. the other Members without the written consent of Members owning two-thirds
(2/3) of the total Units then owned:
2. Would cause 'the Partnership to cease to be a
~ Limited Partnership as then defined by the Uniform Limited Partnership Law
of the State of Florida, as amended.
B. An amendment to this Agreement shall be effective when
an appropriate amendment to the Certificate of Limited Partnership shall

In the event of any controversy arising hereunder, it is
understood and agreed that the matter shall be submitted to arbitration, -
