sold, a similar majority shall decide in what canner and under what terns and
conditions it should be sold; or ~
3. Undivided interests in the Real and Personal
Property shall be distributed to the !!embers.
- SECTION TWENTY: PO'HER OF ATTORNEY
A. .Each of the Limited Partners-irrevocably constitutes
and appoints the General Partner as his true and lawful attorney,-in his
nacre, pleace and stead; to make, execute, acknowledge, file"and record:
1. A Certificate of Limited Partnership, as well as
amendments thereto, under the laws of the State of Florida, and -
2. My certificate or•other instrument which may be
required to be filed by the Limited Partnership under the Laws of any
State or by any governmental agency, or which the General Partner deems
it advisable to file as well as amendments thereto; and
3. Any documents and amendments thereto which may be
required to effect the admission of a Substituted Limited Partner, or the
dissolution and termination of the Limited Partnership, provided such -
- admission or dissolution and termination are in accordance with the terms
of this Agreement; and
~f _ 4. A~?y instruments of transfer and conveyance,including

but not limited to deeds, notes, mortgages, security instruments of any kind,

leases and any other instruments in connection with the activities of•the
~ Limited Partnership; it being expressly understood and intended by the
Limited Partners that the foregoing power of attorney is coupled with an -
- ~ interest, is irrevocable, and shall survive the death of the Limited Partner-.
The foregoing power of attorney shall survive the delivery
of an assignment by the Limited Partner of the whole or any portion of his
Limited Partnership interest, except that where an assignee of such Limited
Partnership interest has been approved by the General Partner as a Substituted
Limited Partner, then-the foregoing power of attorney of the assignor Limited
- - Partner, shall survive the delivery of such assignment for the sole purpose
