If any of my children shall have predeceased the-tenaination
of this Trust, then their share shall pass to-their heirs as
provided by law at the time of their death.
F. I hereby .nominate and appoint, ELAINE MATTHEWS, as my
~ Trustee. If the said ELAINE MATTHEWS shall fail to qualify or
-,i fail or cease to serve as Trustee, then I appoint EILEEN FORD,
as my Trustee.
III.
If my Wife, HELEN FORD,-shall predecease me, then I
~ give., bequeath and devise all the rest, residue and remainder
of the property I may own at the time of my death, of whatever
nature, real or personal, or wheresoever located, to my Children,
' ELAINE MATTHEWS, EILEEN FORD, CARNII;N GILMORE,-THERESA FORD and
~ DOROTHY FORD, in equal shares per stirpes.

I direct that my Executrix hereinafter named, shall inquire
~~.of my issue_and their spouses as to the disposition of the assets

l and inventory of my business. The Executrix shall give special
consideration to the wishes of my issue and their spouses. I.f
any of my issue and or their spouses desire to purchase said
business, then I direct my Executrix hereinafter named, to sell
the assets including executory contracts and accounts receivable,
~t-and inventory of said business at the fair market value thereof,

~I without any consideration to good will, if any, or similar
intangibles. It is my intention and desire that the business
which I have operated as a sole proprietorship shall be continued
by my issue and or their spouses if they so desire and if the
same be in their best interest. .
If they decide not to continue the operation of the business,
then the Executrix shall sell the same as a going business or -

to liquidate the assets and inventory thereof. It shall be in
~ - the sole discretion of my Executrix hereinafter named, to deter-
mine whether it is in the best interest of my estate to sell -
ymy business as a going concern or to liquidate the same by
the sale of the assets and inventory thereof.
