AGREEMENT MODIFYING PROMISSORY NOTE AND MORTGAGE
This Agreement is made as-of February 29, 1976,
between COLUMBIA BANKING SAVING AND LOAN ASSOCIATION, 31 East
Main Street, Rochester, New York 14614, hereafter called
"Mortgagee" and INVESTOR'S REALTY TRUST, a Tennessee Business
Trust, Third National Bank Building, Nashville, Tennessee 37219,-
i hereafter called "Mortgagor."

Mortgagee is the owner and holder of a certain Promissor

Note dated November 21, 1973 iri the amount of $1,900,000:00 and
the Mortgage .securing same of the same date which is recorded in
Official Records Book 221., .Page 447, Public Records of St. Lucie
I, County, Florida. Mortgagor is the owner of the property described -

in the mortgage.. The. obligations due Mortgagee under the terms
1s of the note and mortgage have not been performed.' Mortgagor and
~i Mortgagee have agreed upon a modification of the terms of the

note and mortgage which will remedy the default and will provide
`j for the future performance by Mortgagor of the obligations due ,

1. It is agreed that as of Februar 29, 1976, there

is due from Mortgagor to Mortgagee on account of the promissory
note, including principal and accrued but unpaid interest, the
sum of $1,961,389.78. ~

2. Mortgagor agrees to pay to Mortgagee the sum of
