KUTSCHINSKI, Individually, and RONALD C. KUTSCHINSKI, Trustee, hereinafter referred to collectively as "LANDLORD", and FAIRLANE/LITCHFIELD CO., INC., a South Carolina corporation, hereinafter referred to as "FAIRLANE"; W I T N E S S E T H: WHEREAS, contemporaneously with the execution hereof, FAIRLANE is leasing certain premises fronting in part upon U. S. Highway No. 1 in the City of Fort Pierce, County of St. Lucie, State of Florida, from KUTSCHINSKI; and W~iEREAS, the parties deem it for their mutual benefit to establish joint access and parking upon property of the other. NOW, THEREFORE, in. consideration of the execution of said Lease by each of the parties and in further consideration of the mutual rights and advantages herein set forth, and other valuable consideration, each of which said parties hereby gives, grants and conveys unto the other party the right and easement of egress, ingress and regress over and upon the streets, alleys, ways and parking areas maintained from time tc time by the parties upon their respective properties described on Exhibits "A" and "B" for a term of 25 years and for such further term as said Lease may be extended by FAIRLANE pursuant to the options the-rein granted r Exercise of A'AIRLANE'S option to extend said Lease executed con- temporaneously herewith, shall be deemed an extension of this Cross Parking Easement. Each of the parties shall be responsible for the maintenance and upkeep of their respective parking areas. Each of the parties - does hereby indemnify and agree to hold the other harmless from any liability arising by virtue of the exercise of the rights ' herein granted. i F ~ The parties reserve to themselves the unfettered right to s ~ change the transportation corridors, streets, alleys and park- ing areas as may now exist or hereafter exist; provided, however, such change shall not be permitted where it shall deny reasonable access by the other party and its invitees to the parking areas provided by the other party making such change. Each. of the parties agrees to furnish releases or subor- dinations from the mortgagees and/or trustees under any trust deed or deeds of trust, mortgage or mortgages, securing payment of any indebtedness of that party, which shall contain apt provisions under the terms of which the existence of this Ease- ment shall be recognized, and wherein it shall be provided that, so long as the other party complies with the obligations imposed i, upon the other under this Easement Agreement, neither party nor their successors and assigns shall be disturbed or molested in . 5 QQ~n ~r• t - . - f k
