LASTLY: (A) I hereby nominate, constitute.. and
appoint, as Co-Executors and Co-Trustees of my estate and or"
the trusts established under this Will, my beloved wife,
JEANETTE KANTOR, and my beloved son, EDWARD !CANTOR. In the
event thaC either (or both) the said JEANETTE KANTOR and EDWARD
iCANTOR shall predecease me, or fail to qualify, oC having quali-
fied, should die, resign, or fail to continue to serve for any
reason, before the administration of my estate is completed or
before the administration and distribution of the trusts under
my Will have been completed, then and in such event I noc~inate,
constitute, and appoint as successor Co-Executor and Co-Trustee
the following person and institution to serve in the order and
priority set forth below:
. First, my brother-in-law, MAX PILGER,
of Elizabeth, New Jersey;
Then,-the MIDLANTIC NATIONAL BANK,
a banking corporation with principal

office in Newark, New Jersey.

It is my wish and direction that there be at all times two Co-
~ ~ Executors and Co-Trustees .serving together in such capacities,

except that in the event that at any time all three above named
individuals do not serve or continue to serve, the MIDLANTIC
~ NATIONAL BANK shall serve or continue to serve as sole Executor
or sole Trustee, as the case may be.
~ ~ (B) I give to -such of the successor Co~-
- Executors and Co-Trustees as shall qualify and serve, all rights

~ and powers, discretionary and otherwise, given to my Executors
and Trustees under this,;my Will, except only that the provi-
~ sions of Subparagraph TWENTY-SECOND (C) shall apply only if and
as long as my son, EDWARD KANTOR, shall serve, and not otherwise
