1978 AMENDMENT
OF
McDOWELL REVOCABLE TRUST
Grantor, Matthew M. McDowell, hereby exercising his right
to alter and amend that trust instrument dated April 13, 1973,
pursuant to Article V thereof, hereby amends and restates each
and every provision of said Trust Agreement and each and every
amendment thereto.
ARTICLE I - NAME OF TRUST

This trust shall be known as the McDOWELL REVOCABLE TRUST
(hereafter referred to as "Trust Agreement").
