ARTICLE VIII - TRUSTEE f
A. Appointment of Trustees. Grantor appoints the following
to serve as Trustees of this Trust Agreement until their resigna-
tion or removal as such.
(1) Initial Trustees. Grantor appoints himself and
his spouse, REGINA A. McDOWELL, to serve as co-Trustees of all
trusts created in this Trust Agreement.
(2) Successor Trustees. In the event any one of the

said named initial Trustees shall be unable or unwilling to serve
then BERNICE E. NEWMARK shall serve as successor co-Trustee along
with the surviving initial Trustee, if any. If both the initial
Trustees shall be unable or unwilling to serve then SUSAN O. VANCE,
NANCY A. GRIFFIN and LINDA K. McDOWELL and BERNICE E. NEWMARK shall
serve as successor co-Trustees.

After appointment of the successor Trustees, in the event any one

or more shall be unable or unwilling to act ~r to continue to act

~ as Trustee, no vacancy shall be created, but the remaining Trustee(s)
~ shall have the power and authority to act without approval of any court.

B. Appointment-of Successor Trustee. If at any time a Trustee

shall resign, be removed, or shall for any other reason cease or s

become unable to act as Trustee, either or both the Grantor or his
~ spouse shall appoint a successor trustee. If either or both the
' Grantor or his spouse fail to act or are unable to exercise this
power of appointment of successor trustee, the majority of benefi-
k
ciaries of the income and principal who have attained their 21st
e birthday may appoint a successor trustee.
