SECOND AMENDMENT
TO THE
McDOWELL REVOCABLE TRUST
AS AMENDED
ON
SEPTEMBER 27, 1978
I, MATTHEW M. McDOWELL, Grantor of the McDOWELL REVOCABLE
TRUST, hereby exercising my right to alter and amend that trust
instrument, dated September 27, 1978, pursuant to Article IV
thereof, hereby confirm and restate each and every provision
thereof except those provisions that are now in conflict with
this Second Amendment to the McDOWELL REVOCABLE TRUST as amended
on September 27, 1978.

Any and all beneficiaries, including but not limited to the
present beneficiary of this trust, have a present possessory right
to and are entitled to the use and occupancy of any real property
constituting the corpus of this Trust Agreement.
