less to hold, manage, control, invest and reinvest in accordance
with the authority hereinafter conferre u on it, and to distri-
bute the net income and principal as Poll ws:
(a) - The Trustee may pay any rt or all of the net
income or principal of the Trust to my wife, JEAN F. VARN, during
her lifetime, my mother, LAURA M. VARN, during her lifetime, and
my son, ROBERT s. YARN until he shall attain the age of TWENTY-
TWO (22) YEARS, in such proportions as my Trustee may determine
to be necessary for the support, education (including higher
education), medical care, maintenance and welfare of any of the
three above-mentioned beneficiaries. The Trustee need not
equalize distribution among the said beneficiaries but may take
into consideration the relative needs, as well as the personal
resources of the said beneficiaries, together with any other
factors which the Trustee may deem pertinent. The_Trustee need
not, however, make payments to any beneficiary which it considers
to be in excess of the reasonable needs of such beneficiary.

(b) - Upon the death of the last to die of my wife,

JEAN F. VARN, my mother, LAURA M. VARN, and myself and all of
my living children having attained .the age of TWENTY-TWO (22)

YEARS, this Trust shall terminate and the Trustee shall dis-
tribute the entire remaining principal of this Trust, together
with any accumulated income, in equal shares, per stirpes, to
my children. Should any of my children have died prior to the
time of distribution of this Trust leaving issue surviving

~ him or her, my Trustee shall distribute outright to the said
issue the share of this Trust to which the said deceased child
r would have been entitled had he or she been living at the time
of distribution. However, should any of such. issue not have
