Palm Beach, Fla. 33408 THIS AGREEMENT (hereinafter the "Agreement") made and entered into this 11th day of April, 1979, by and between ANGLO AMERICAN DEVELOPMENT CORPORATION (hereinafter referred Aa Idaww~S oc ?ss~~rS. to as "Optionor") and E.G. GREEN, TRUSTEE^(hereinafter referred to as "Optionee"). W I T N E S S E T H: WHEREAS, the Optionor and the Optionee have entered into an "Option Agreement" of even date hereof, covering the property ("Property") described in Exhibit A attached to this Agreement; and WHEREAS, the parties desire to record this Agreement as record evidence of the outstanding Option Agreement. NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements contained in the said Option Agreement, THE PARTIES HERETO AGREE AS FOLLOWS: 1. This Agreement Not to Encumber or Transfer Property has been prepared in accordance with the Option Agreement of even date hereof. Any conflicts between the terms of this Agree- went and of the Option Agreement shall be resolved in favor of the OPtion Agreement. 2. The Optionor agrees that so long as the Optionee per- f - f formed each and every term, covenant and condition of the Option Agreement, and so long as the said Option Agreement shall remain in full force and effect, the Optionor will not: (1) create or permit any lien or other encumbrance to exist on the Property or (2) transfer, sell, or in any manner whatsoever dispose of the Property, or any interest therein. 3.
