B. NAME OF SURVIVING COMPANY.

The name~ of the Surviving Company shail be Dickerson, Incorporated. A
C. MERGER OF AIERGING COti1PANIES INTO SURVIVING COMPANY.
Pursuant to the terms and conditions of this Plan, the Merging Companies ,

D. CONVERSION AND EXCNANGE OF SNARES. ~
Upon the etfective date of this merqer, the Surviving Corporation
sl~all succeed to alt the assets of the Alerqing Companies and shall assume all liabilities

of ;t,e ~lerging Co~panies. There shall be no changes in the charter of Dickerson,
Inc:orporated nor issue of any additio~al shares of Dickerson, Incorporated, in

Se~tion 607.227 of the Florida Statutes.

E. EFFECTIVE OATE OF MERGER, ~
